Terms of Service
Last Updated: April 30, 2026
These Terms of Service govern the purchase and use of services offered by ExaQuent through this website, booking tools, payment tools, and related communications.
By booking, purchasing, or using services from ExaQuent, you agree to these Terms of Service. If you do not agree, do not book or purchase services.
1. Services
ExaQuent provides professional services that may include advisory, consulting, coaching, scheduled sessions, exploratory discussions, scoped engagements, and other related services across security, risk, and technology.
Services may be offered as one-time sessions, prepaid arrangements, recurring arrangements, project-based work, or other engagement formats described on the website or during the booking and payment process.
2. No Guarantee of Outcome
ExaQuent provides professional services designed to support clearer understanding, stronger perspective, and more grounded decision-making. Because every client situation is different, ExaQuent does not guarantee any specific business, operational, financial, regulatory, or technical outcome.
3. Booking and Payment
Certain services may be booked and paid for online. Others may require an initial discussion, scoping, proposal, or separate written agreement before work begins.
By submitting payment, you confirm that the information provided is accurate and that you are authorized to use the selected payment method.
ExaQuent reserves the right to decline, cancel, or reschedule services where necessary, including when a service is booked incorrectly, required information is missing, availability changes, or the requested work is not a fit for the selected engagement.
4. Client Responsibility
You agree to provide accurate information when booking services and to share relevant information needed for ExaQuent to prepare for or deliver the service.
You are responsible for:
- Providing correct contact and scheduling information
- Attending booked sessions on time
- Reviewing booking confirmations and related communications
- Using the selected service in a lawful and appropriate manner
5. Scope of Service
The services purchased apply only to the engagement selected, described, or separately agreed upon. Booking or purchasing a service does not create an open-ended obligation for ExaQuent to provide additional work outside the booked session, defined engagement, or written agreement.
Any additional services, follow-up work, or expanded scope may require a separate booking, payment, proposal, or agreement.
6. Rescheduling, Cancellation, and Refunds
Rescheduling, cancellation, no-show, and refund terms are governed by the Refund and Cancellation Policy posted on this website, which is incorporated into these Terms of Service by reference.
7. Communications and Third-Party Platforms
ExaQuent may use third-party platforms and service providers to support scheduling, communications, video meetings, invoicing, payments, and related business operations, including Zoho services and connected business tools. Your use of those systems may also be subject to the terms and privacy policies of the applicable provider. Zoho publishes its own privacy policy and service terms.
8. Intellectual Property
Unless otherwise agreed in writing, all methods, materials, frameworks, website content, text, graphics, branding, service descriptions, and related content provided by ExaQuent remain the property of ExaQuent.
You may not reproduce, distribute, modify, publish, or commercially use ExaQuent’s proprietary materials without prior written permission, except as allowed by law or as reasonably necessary for your own internal use of purchased services.
9. Disclaimer
Services are provided on an “as available” basis and are intended for general professional support within the scope of the purchased engagement. ExaQuent disclaims warranties of any kind, express or implied, to the fullest extent permitted by law.
10. Limitation of Liability
To the fullest extent permitted by law, ExaQuent will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the purchase or use of services.
Any liability that cannot be disclaimed will be limited to the amount paid by the client for the specific service giving rise to the claim, unless otherwise required by law.
11. Changes to Services or Terms
ExaQuent may update services, pricing, booking structures, and these Terms of Service from time to time. Updated terms will be posted on this page with a revised effective date.
12. Governing Law
These Terms of Service are governed by the laws of the State of Ohio, without regard to conflict of law principles.
